Item 8.01 Other Events

On February 19, 2007, the Company and Inland Retail Real Estate Trust, Inc. (“IRRETI”) issued a news release announcing that in connection with the Company’s proposed acquisition of IRRETI, IRRETI stockholders will receive 0.021569 of a common share of the Company and $12.50 in cash for each share of common stock of IRRETI. A Copy of the news release is attached hereto as Exhibit 99.1.
