Item 1.01 Entry into a Material Definitive Agreement.

(a) On June 16, 2006, PLATO Learning, Inc. (the "Company") entered into indemnification agreements with the following directors, all of whom have recently joined our Board of Directors: Debra A. Janssen, Susan E. Knight, M. Lee Pelton, and Warren Simmons. The agreements follow the standard form used for our officers and directors, and the form of indemnification agreement is filed as Exhibit 10.11 to this report.
