(d) On June 19, 2006, we issued a press release, attached hereto as Exhibit 99.1, announcing that Warren Simmons, executive director of the Annenberg Institute for School Reform at Brown University, has been elected to our Board of Directors. Mr. Simmons will also serve as a member of the Compensation Committee.
