ITEM 5.07      SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS.
On May 9, 2019, Qumu Corporation (the “Company”) held its Annual Meeting of Shareholders (the “Annual Meeting”). Of the 9,765,392 shares of the Company’s common stock outstanding and entitled to vote at the Annual Meeting on the March 21, 2019 record date, 7,839,983 shares, or approximately 80.3%, were present at the Annual Meeting either in person or by proxy. 
The following describes the matters considered by the Company’s shareholders at the Annual Meeting, as well as the results of the votes cast at the meeting:
1.
To elect five (5) directors to serve until the next Annual Meeting of Shareholders or until their respective successors have been elected and qualified.

Thomas F. Madison was withdrawn as a nominee following his death on April 10, 2019, reducing the number of nominees for election at the Annual Meeting from six to the five stated above.
