(b)      On July 31, 2009, Bruce Marley, Executive Vice President and Chief Lending Officer of its operating subsidiary, Venture Bank, notified the Company that he is resigning from this position effective as of the close of business on August 31, 2009. The Company has begun as a search for a replacement.
