Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective May 15, 2007, Charles Bailey resigned as a member of the Board of Directors of the Company. Mr. Bailey’s resignation is not in connection with any disagreement with the Company on any matter relating to our operations, policies, or practices. Mr. Bailey was a member of the Company’s Audit and Nominating Committees.
