Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

We were notified by Director David Sincox, age 67, of his resignation and retirement from the Board of Directors effective August 1, 2006. Mr. Sincox was a member of our audit committee. Mr. Sincox’s resignation is not in connection with any disagreement with the Company on any matter relating to our operations, policies, or practices, but rather part of a long planned retirement.
