Item 8.01  Other Events

The company filed an S-1 registration statement today to register the shares that are associated with the convertible notes that were issued earlier this year.  These shares currently can be sold under Rule 144 and the registration statement is filed solely for the convenience of the note holders. Filing this registration statement does not result in any new shares becoming available in the market.
