Item 1.01 – Entry into a Material Definitive Agreement.

On June 18, 2008, Nano-Proprietary, Inc. entered into a settlement agreement with Mr. Till Keesmann related to litigation in the U.S. District Court for the Northern district of Illinois. The agreement calls for all claims to be dismissed with prejudice.
