        Registered holders of outstanding 6⁷/8% Senior Notes due January 15, 2014 (the "Old Notes") of Vidéotron Ltée ("Vidéotron") who wish to tender their Old Notes in exchange for a like stated amount at maturity of 6⁷/8% Senior Notes due January 15, 2014 (the "New Notes") of Vidéotron and, in each case, whose Old Notes are not immediately available or who cannot deliver their Old Notes and letter of transmittal (and any other documents required by the letter of transmittal) to Wells Fargo Bank Minnesota, N.A.
