ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On February 1, 2007, Allied Healthcare International Inc. (the “Company”) issued a press release announcing its earnings for the quarter ended December 31, 2006. A copy of the press release is attached to this Form 8-K.

ITEM 8.01 OTHER EVENTS.

On January 30, 2007, the Company entered into an amendment to its senior credit facility. A copy of the amendment is attached to this Form 8-K and incorporated by reference into this Item 8.01.
