(1) Represents 5,714,286 shares of the registrant’s common stock issuable upon the exercise of warrants at an exercise price of $0.70 per share that were issued pursuant to a Securities Purchase Agreement (the “Purchase Agreement”), dated May 31, 2023, by the selling stockholder named in the registration statement, from time to time, upon the terms and subject to the satisfaction of the conditions set forth in the Purchase Agreement.
