Investor Growth Capital is an indirect wholly-owned subsidiary of the Reporting Person. These Shares were sold for the account of Investor Group, L.P. ("Investor Group"), a limited partnership of which the Reporting Person serves as the ultimate general partner. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by Investor Growth Capital and Investor Group on August 30, 2004.
