Item 8.01 Other Events.

On November 13, 2023, Columbia Banking System, Inc., parent company of Umpqua Bank, announced its Board of Directors has approved a quarterly cash dividend in the amount of $0.36 per common share. The dividend is payable December 11, 2023, to shareholders of record as of November 24, 2023. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference in its entirety.

Columbia Banking System Announces $0.36 Per Common Share Dividend

TACOMA, Wash., Nov 13, 2023 – Columbia Banking System, Inc. (“Columbia” Nasdaq: COLB), parent company of Umpqua Bank, today announced its Board of Directors has approved a quarterly cash dividend in the amount of $0.36 per common share, payable December 11, 2023, to shareholders of record as of November 24, 2023.
