This Report of Foreign Private Issuer on Form 6-K is deemed filed for all purposes under the Securities Act of 1933, as amended, and the Securities Exchange Act of 1934, as amended.

In accordance with the Korean government’s reform plans for public enterprises, Korea Electric Power Corporation (“KEPCO”) plans to sell all of its shares, or 9,454,000 common shares, in Korea Electric Power Industrial Development Co., Ltd. (“KEPID”). The proceeds to KEPCO from the sale of the KEPID shares are expected to be approximately Won 68.2 billion, based on the closing price of KEPID shares as of July 1, 2011, and are expected to be used in servicing debt, financing investments in transmission and distribution facilities and other general corporate purposes. Specific details on the proposed selling price, time of sale and method of sale will be decided in the future based on considerations of prevailing market conditions.
