Partnership On December 11, 2009, a family limited partnership of which the reporting person is a general and limited partner, Promerica, L.P., settled a prepaid variable forward sale contract originally entered into on December 11, 2008 with an unaffiliated commercial bank. At the initiation of the contract, the bank paid $627,623.17 to Promerica. The forward sale contract obligated Promerica to deliver to the bank at maturity up to 102,722 shares of the Issuer's common stock depending on market prices at maturity. If the market price per share at maturity was equal to or less than the floor price of $7.50 per share, Promerica would deliver 102,722 shares to the bank. If the market price per share at maturity was greater than the floor price, Promerica would deliver a fewer number of shares. The market price per share on December 11, 2009 was $8.67. Accordingly, Promerica transferred to the bank 88,910 shares of the Issuer's common stock and the bank returned 13,812 of the pledged shares to Promerica.
