Item 8.01.             Other Events.

As previously disclosed in Item 1.03 of Form 8-K filed on September 17, 2008, Focus Enhancements (the “Company”) filed a voluntary petition, on September 16, 2008, for relief under Chapter 11 of the United States Bankruptcy Code (“Chapter 11”) in the United States Bankruptcy Court for the Northern District of California.

In connection with the Company’s reorganization under Chapter 11, the Company has taken action to reduce its worldwide workforce by approximately 45 employees, primarily associated with its Ultra Wideband development. The Company expects its worldwide workforce to be approximately 100 employees by October 31, 2008.
