Tailored Brands, Inc. (the “Company”) adopted a new form of stock appreciation rights award agreement for future use in connection with the possible grant of stock appreciation rights to one or more of the Company’s executive officers.  The form of agreement is filed herewith as Exhibit 10.1 and is incorporated herein by reference.
