Explanation of responses:

(1)   Included in this total are 247 shares of stock that were transferred to Mr. Rohrkemper from Rohrkemper & Ossege in June 2001. Mr. Rohrkemper had previously claimed beneficial ownership of the recently transferred shares.
(2)   Options granted to Directors are exercisable one year after date of grant for not more than one-third of the shares subject to the option and an additional one-third of the shares subject to the option may be exercised for each of the two years thereafter.
(3)   Options granted under a three year vesting schedule are exercisable one year after date of grant for not more than one-third of the shares subject to the option and an additional one-third of the shares subject to the option may be exercised for each of the two years thereafter.
