The following disclosure is being furnished pursuant to Item 2.02 of Form 8-K - Results of Operations and Financial Condition. On January 25, 2006, Catalina Marketing Corporation issued a press release announcing its financial results for its third quarter ended December 31, 2005. The press release is attached to this Current Report as Exhibit 99.1 and is incorporated herein solely for purposes of this Item 2.02 disclosure.

On January 26, 2006, and following the issuance by the Company of the press release described above, the Company held a conference call to discuss the financial results of the Company for its fiscal quarter ended December 31, 2005. A copy of the transcript of the call is attached to this Current Report as Exhibit 99.2 and is incorporated herein solely for purposes of this Item 2.02 disclosure.
