          This opinion is being given in connection with the Registration Statement on Form S-3 (the "Registration Statement") to be filed with the Securities and Exchange Commission by Arguss Communications, Inc. (the "Company") on or about the date hereof for the purpose of registering under the Securities Act of 1933, as amended, an aggregate of 630,730 shares (the "Shares") of Common Stock, par value $.01 per share (the "Common Stock"), consisting of shares of Common Stock held by Terry Klein (the "Selling Shareholder").
