Item 7.01. Regulation FD Disclosure.

On July 17, 2007, IPSCO Inc. (“IPSCO”) issued a press release (the “Press Release”) announcing the expiration, as of 5:00 p.m. New York City time, of its cash tender offer and related consent solicitation for any and all of its outstanding 8 3/4% Senior Notes due 2013.
