Item 1.01   Entry into a Material Definitive Agreement
Adoption of Fiscal 2006 Bonus Criteria under Cash Bonus Plan
     On April 27, 2006, the Human Resources and Compensation Committee of the Board of Directors of The Bon-Ton Stores, Inc. (the “Company”) adopted the criteria set forth below for the award of bonuses to the Company’s named executive officers for fiscal 2006 under the Company’s Cash Bonus Plan. Goals for net income must be achieved in order for any bonus to be payable; if goals for net income are achieved, varying percentages of the “target” bonuses will be payable based on the criteria listed below.
