Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On December 5, 2006, after consideration of presentations and recommendations of management and independent compensation consultants, and such other matters and information as deemed appropriate, the Incentive Stock and Compensation Committee of the Board of Directors of America Service Group Inc. (the “Company”) approved resolutions with respect to fiscal 2007 base salaries of the Company’s named executive officers.

     The base salary levels, effective January 1, 2007, of the Company’s named executive officers were set as follows:
