                                    PART III

     The  Registrant  is in the  process  of  selling  substantially  all of its
operating  assets and preparing for a  shareholders  meeting in connection  with
that proposed sale. It has taken the  Registrant  longer than expected to review
accounting issues that arose in connection with the proposed transaction.

                                     PART IV

     The  Registrant is  evaluating  the affects on the  Registrant's  financial
statements  of its  board's  approval  of a plan to dispose of the  Registrant's
health care operations. Until that evaluation is complete, the Registrant cannot
make a reasonable  estimate of its results of  operations  for the quarter ended
September 30, 1999.
