NOTIFICATION OF THE REMOVAL FROM LISTING AND REGISTRATION OF THE STATED SECURITIES

The New York Stock Exchange hereby notifies the SEC of its intention to remove the entire class of the stated securities from listing and registration on the Exchange at the opening of business on April 08, 2024, pursuant to the provisions of Rule 12d2-2 (a).

The termination of the Deposit Agreement between WNS (Holdings) Limited and Deutsche Bank Trust Company Americas became automatically effective after the close on March 27, 2024. Each holder of the American Depositary Shares (Each representing one ordinary share, 10 pence par value) will receive 1 Ordinary Share of WNS (Holdings) Limited for each American Depositary Share held.

The Exchange also notifies the Securities and Exchange Commission that as a result of the above indicated conditions this security was suspended from trading before market open on March 28, 2024.
