NOTIFICATION OF THE REMOVAL FROM LISTING AND REGISTRATION OF THE STATED SECURITIES
The New York Stock Exchange hereby notifies the SEC of its intention to remove the entire class of the stated securities from listing and registration on the Exchange at the opening of business on February 14, 2022, pursuant to the provisions of Rule 12d2-2 (a).

The merger between Sterling Bancorp and Webster Financial Corporation became effective after market close on January 31, 2022. Sterling Bancorp Depositary Shares each representing ownership of a 1/40th interest in a share of 6.50% Non-Cumulative, Perpetual Preferred Stock, Series A was converted into one Depositary Shares, each representing a 1/40th interest in a share of 6.50% Series G non-cumulative perpetual preferred stock, of Webster Financial Corporation.
The Exchange also notifies the Securities and Exchange Commission that as a result of the above indicated conditions this security was suspended from trading on February 01, 2022.
