(the "Company"), Cobham Holdings Inc. and Rocob Acquisition Inc. (the "Merger Agreement"), upon consummation of the merger on June 3, 2008, each share of the Company's common stock was cancelled and converted into the right to receive $77.60 in cash, without interest.
