Item 1.01                                             Entry into a Material Agreement.

 

On August 2, 2005, Isis Pharmaceuticals, Inc. issued a press release announcing that its Ibis division has been awarded a government grant for up to $4.9 million for its TIGER biosensor system for the continued development of applications to diagnose infectious disease and to identify and control hospital-associated infections.  The grant was received from the National Institute of Allergy and Infectious Diseases (NIAID), part of the National Institutes of Health (NIH).  A copy of this release is furnished with this report as an exhibit.
