Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 21, 2008, Daniel C. O’Keefe, the Chief Accounting Officer of Ocwen Financial Corporation, resigned from his position to pursue other opportunities. Mr. O’Keefe’s last day with the company will be April 4, 2008, after which David J. Gunter, Senior Vice President, Chief Financial Officer and Treasurer, will also serve as the interim Chief Accounting Officer until a new Chief Accounting Officer is appointed.
