Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 5, 2010, David Ellison, the Registrant’s Chief Financial Officer and Corporate Secretary, gave notice of his intent to resign his full time-position with the Registrant as of the end of February 2010.  Mr. Ellison is resigning to pursue other opportunities.  Mr. Ellison may continue to be involved with the Registrant through the end of the first quarter of 2010, working on identified projects.  Mr. Ellison has been the Chief Financial Officer of the Registrant since May 1996 and Corporate Secretary since August 1999.
