Item 8.01. Other Events.
     On January 9, 2006, Whitehall Jewellers, Inc. (the “Company”) issued a press release announcing that the Company has learned that Newcastle LP’s (“Newcastle”) potential lender will not proceed with its proposal to finance Newcastle’s replacement of the Company’s senior credit facility at this time.
     A copy of the press release is filed as Exhibit 99.1 to this Form 8-K.
