Explanation of Responses:

1. On March 25, 2005, the common stock of R&B, Inc. split 2-for-1. Share amount reflects the 2-for-1 split.

2. Previously, Mr. Berman reported indirect beneficial ownership in securities held by a charitable foundation designated as by Trust in his Section 16 reports. As neither Mr. Berman nor any of his immediate family memebers living in his household has or had any pecuniary interest in the assets of the Trust, his reports will no longer report transactions in or beneficial ownership of shares of common stock held by the Trust. Such amounts which were previously reported as held by Trust have been deleted from Mr. Berman's beneficial ownership in this Form 4.
