Following the transfer to TotalEnergies Gestion USA SARL, TotalEnergies Solar Intl SAS and TotalEnergies Gaz Electricite Holdings France SAS transferred their remaining shares of the Issuer's Common Stock to a newly formed limited liability company in exchange for a noncontrolling, minority interest in such company. TotalEnergies Solar Intl SAS is a direct wholly owned subsidiary of TotalEnergies Gaz Electricite Holdings France SAS, which is an indirect wholly owned subsidiary of TotalEnergies SE. Following the transactions reported herein, neither TotalEnergies Solar Intl SAS nor TotalEnergies Gaz Electricite Holdings France SAS beneficially own any shares of the Issuer's common stock.
