Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

The Board of Directors (the "Board") of Automatic Data Processing, Inc. (the "Company") appointed Francine S. Katsoudas as a new director of the Company, effective May 15, 2019.
Ms. Katsoudas is currently the Executive Vice President and Chief People Officer of Cisco Systems, Inc.
Ms. Katsoudas will be compensated for her service on the Board in the same manner as the Company’s other non-employee directors.  For a description of the Company’s director compensation programs, see “Compensation of Non-Employee Directors” in the Company’s Proxy Statement for the 2018 Annual Meeting of Stockholders held on November 6, 2018, filed with the SEC on September 20, 2018.
