[1] On October 1, 2014, upon calculating the ADP restricted stock and restricted stock unit conversion ratio and the CDK restricted stock and restricted stock unit conversion ratio, ADP performance-based restricted stock and performance-based restricted stock units increased by 181 thousand and 10 thousand, respectively, to preserve the intrinsic value of continuing ADP employees' post-spin. ADP performance-based restricted stock and performance-based restricted stock units decreased by 45 thousand and 35 thousand, respectively, to represent the previously outstanding ADP awards substituted with CDK awards for CDK employees.
