STATE REASON FOR REQUEST TO FILE LATE

Additional time is required to resolve an issue regarding the pending sale of one of the registrant’s assets. The contingency affecting the pending sale has prevented the registrant from accurately completing its discussion regarding its liquidity and capital resources. The pending contingency will be resolved within the following 15-day period.

Revenue decreased from $2,127,000 to $1,464,000 and net loss increased from $1,315,000 to $3,280,000 for the fiscal year ended March 31, 2002 compared with the prior fiscal year. These changes were due to operating matters which will be fully disclosed in the Company’s Form 10-K when it is filed, and do not relate to the potentially material contingency which is the basis for this Form 12b-25.
