1. The sale reported on this Form 4 was sold pursuant to a Rule 10b5-1 Sales Plan adopted by the reporting person on March 25, 2004.

2. Vested 1/4 per year from 10/12/98 grant date.

3. This option was originally reported as covering 1,225 shares at an exercise price of $71.625, but was adjusted to reflect stock splits on February 20, 1998 and May 31, 2001.

4. Option vested in annual installments of one-third of the shares commencing on November 24, 1998.
