Item 8.01. Other Events

On February 29, 2008, Restoration Hardware, Inc. (the “Company”) issued a press release concerning the end of the “go shop” process under the terms of the Agreement and Plan of Merger, dated as of November 8, 2007, among the Company, Home Holdings, LLC (“Parent”) and Home Merger Sub, Inc. (“Merger Sub”), as amended by the First Amendment thereto dated as of January 24, 2008. Parent and Merger Sub are affiliates of Catterton Partners. A copy of the press release issued by the Company is attached as Exhibit 99.1 hereto and incorporated herein by reference.
