Item 1.01. Entry into a Material Definitive Agreement.

On April 11, 2007, the Board of Directors of Restoration Hardware, Inc. (the “Company”) adopted a form of restricted stock unit agreement for future awards of restricted stock units pursuant to the terms of the Company’s 1998 Stock Incentive Plan, as amended and restated. The Company intends to use this form of restricted stock unit agreement from time to time in connection with future awards of restricted stock units to its officers, directors and certain employees. A copy of the form of restricted stock unit agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
