Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On March 30, 2006, John W. Tate announced his decision to resign as Executive Vice President, Chief Operating Officer of Restoration Hardware, Inc. (the “Company”). No departure date has been arranged. Mr. Tate has indicated that he will remain in his current position with the Company until a successor is named.

A copy of the press release announcing Mr. Tate’s resignation is attached hereto as Exhibit 99.1 and incorporated herein by reference.
