Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 7, 2019, Benchmark Electronics, Inc. (the “Company”) announced that Nathalie Carruthers voluntarily resigned from her position as Vice President, Worldwide Human Resources to pursue another opportunity.  Ms. Carruthers decision to leave was not the result of any disagreement with management or the Board.
