(b)   Departure of Principal Officer
      On November 9, 2006, Timothy E. Kullman, Senior Vice President and Chief Financial Officer, announced his decision to resign from the company sometime in fiscal 2007. Mr. Kullman will continue to serve as the Company’s Senior Vice President and Chief Financial Officer until his departure. He has agreed to remain with the company to help identify a successor, and ensure a smooth transition. A copy of the press release issued by the Company in connection with this announcement is attached hereto as Exhibit 99.1.
