The grant was rescinded on February 1, 2008. The RSUs reflected in Table II were granted on March 25, 2008 under the Company's 2008 Non-Employee Directors' Stock Plan, subject to the shareholders approval of the plan on May 22, 2008, to replace the forfeited grant. The RSUs are generally scheduled to vest on March 25, 2011.
