Item 8.01   Other Events

 

National Tax Credit Investors II, a California limited partnership (the “Partnership”), has a 99% limited partnership interest in Quivira Place Associates, L.P., a Kansas limited partnership, (“Quivira Place”). On April 6, 2009, Quivira Place entered into a purchase and sale contract with a third party, Brenton D. Dupont, an individual resident of the state of Kansas (“Purchaser”), relating to the sale of its sole investment property, located in Lenexa, Kansas, which consists of 289 units, for a sales price of $6,250,000. The Partnership’s consent is a condition to the closing of the transaction. The Partnership is currently reviewing the transaction and expects to provide its consent prior to closing which is scheduled for August 4, 2009. The Partnership’s investment balance in Quivira Place was zero at December 31, 2008 and the Partnership does not anticipate receiving any proceeds from the sale of the Quivira Place property.
