Other Events


National Tax Credit Investors II, a California limited partnership (the “Partnership”), has a 99% limited partnership interest in Kentucky River Apartments, Ltd., a Kentucky limited partnership (“Kentucky River”). On June 13, 2008, Kentucky River entered into a purchase and sale contract with a third party, TMEA, Inc., a Kentucky corporation (“TMEA”), for the sale of its sole investment property, located in Winchester, Kentucky which consists of 42 units, for a sales price of $1,400,000. The Partnership’s consent is a condition to the closing of the transaction. The Partnership is currently reviewing the transaction and expects to provide its consent prior to closing, which is scheduled for August 12, 2008, although the buyer may elect to close earlier. The Partnership’s investment balance in Kentucky River was approximately $670,000 at March 31, 2008.
