Item 8.01   Other Events

 

National Tax Credit Investors II (the “Registrant”) has a 99% limited partnership interest in Fourth Street Apartment Investors, a California limited partnership (“Fourth Street Investors”). On June 21, 2010, Fourth Street Investors entered into a Real Estate Purchase Agreement to sell its investment property, Fourth Street Apartments (the “Property”), to a third party, Alcole Properties, Inc., a California corporation (the “Purchaser”).  The purchase price for the Property is $3,375,000.  The Registrant’s consent is a condition to the closing of the transaction.  The Registrant is currently reviewing the transaction and expects to provide its consent prior to the closing, which is scheduled to occur during the third quarter of 2010. The Registrant’s investment balance in Fourth Street Investors was approximately $356,000 and $407,000 as of March 31, 2010 and December 31, 2009, respectively.
