AVX Corporation
Conflict Minerals Report
I. Introduction
The Conflict Minerals Report of AVX Corporation (“AVX”) for calendar year ended December 31, 2018 is presented to comply with Rule 13p-1 under the Securities Exchange Act of 1934 (“the Rule”).1 AVX utilizes metallic forms of tantalum, tin, tungsten and gold (“3TG”) minerals in various production processes and is committed to ensure that the 3TG in its products do not directly or indirectly finance or benefit armed groups that are perpetrators of human rights abuses in the Democratic Republic of Congo ("DRC") and the nine adjoining countries ("Covered Countries"). AVX has taken steps to comply with the Rule as described below.
AVX is a leading worldwide manufacturer and supplier of a broad line of passive electronic components and related products headquartered in the United States, with a number of global subsidiaries2 and distributes a variety of passive electronic components manufactured by other manufacturers (collectively “AVX Products”). While the details of AVX's manufacturing processes vary by product, generally speaking, AVX purchases raw materials which it then combines and treats to form electronic components. For some products, those components are then further combined or connected to form more complex components, modules or interconnect devices. The products are then tested and packaged. Each AVX manufactured product has a bill of materials allowing AVX to track all materials used in its manufacture. AVX currently has numerous manufacturing facilities around the world and the processes include, among other steps, assembly, batching, dicing, curing, sintering, welding, sputtering, molding, sealing and plating. To the best of our knowledge, the production processes for those products which AVX distributes are similar to those AVX itself manufactures. This report covers products manufactured by and for AVX in calendar 2018.
Pursuant to the Rule, AVX conducted a “reasonable country of origin inquiry,” which we believe was designed and performed in good faith, based on the procedures performed below:
● | AVX conducted supply-chain surveys with direct material and resale product suppliers using the Responsible Business Alliance / Global e-Sustainability Initiative (“RBA/GeSI”) Conflict Minerals Reporting Template (“CMRT”) to identify the smelters and refiners who contributed refined conflict minerals to AVX Products. | |
● | AVX reviewed supply-chain surveys and contacted direct material and resale product suppliers for clarification, or to provide additional information where necessary. |
Based on the results of our inquiry, we undertook due diligence measures on the source and chain of custody of the necessary metallic forms of conflict minerals in our products that we had reason to believe may have originated from the Covered Countries and may not have come from recycled or scrap sources, in an effort to determine whether the sourcing of the minerals directly or indirectly financed or benefited armed groups.
II. Design of Due Diligence Measures
AVX has designed its due diligence measures to be in conformity, in all material respects, with the internationally recognized due diligence framework in the Organisation for Economic Co-operation and Development (“OECD”) (2016), OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas: Third Edition, OECD Publishing (OECD 2016) (“OECD Framework”).
1 Numerous terms in this Report are defined in the Rule and Form SD and the reader is referred to those sources and to 1934 Act Release No. 34-67716 (August 22, 2012) for such definitions.
2 Under the rule, issuers that obtain control over a company that manufactures or contracts to manufacture products with necessary conflict minerals that previously had not been obligated to provide a specialized disclosure report for those minerals are allowed to delay reporting on the acquired company’s products until the end of the first reporting year that begins no sooner than eight months after the effective date of the acquisition. Therefore, the following subsidiaries acquired by AVX are not included in this report: AB Elektronik, AVX Antenna, Inc. (d/b/a Ethertronics) and Kumatec.
Controls include, but are not limited to, our Code of Conduct, which outlines expected behaviors for all AVX directors, employees, consultants and agents, our Due Diligence Policy on Conflict Minerals, and supplier conflict minerals assertions. In addition, AVX has engaged and actively cooperates with major manufacturers and others in the industry to promote responsible conflict minerals sourcing. We publicly communicate our Conflict Minerals Policy via our website: www.avx.com.3
III. Smelters and Refineries Identified
AVX conducts smelter visits and supplier visits, however, due to the depth of our supply chain, we also rely on our suppliers to provide information on the origin of the 3TG minerals. AVX identified 139 active, in scope suppliers for the 2018 reporting year by using the Responsible Business Initiative's Conflict Minerals Reporting Template ("CMRT"). Of the 139 suppliers, 99% were able to identify all of the smelters and refiners who contributed the metallic 3TG used in their production processes.
IV. Due Diligence Performed by AVX
AVX’s due diligence measures undertaken for AVX products manufactured in calendar year 2018 included, but was not limited to:
● | Comparing the 248 smelters and refiners identified via the supply-chain surveys against the list of smelter/refiner facilities which have received a “conformant” designation from the Responsible Minerals Assurance Process (“RMAP”) or an audit program with which RMAP has mutual recognition, or are actively pursuing such a designation. |
V. Results of Due Diligence Measures
AVX sources 3TG minerals from countries inside and outside of the defined Covered Countries list. Based on the due diligence measures performed, we can confirm that, out of the total of 248 smelters and refiners identified, 38 were known to source 3TG minerals from the Covered Countries.4 Of the 38 smelters and refiners known to be sourcing from the Covered Countries, 100% were either conformant to the RMAP or had scheduled a date for an RMAP assessment.5 AVX has no reason to believe that any of the smelters or refiners identified in its supply chain sourced 3TG that directly or indirectly financed or benefited armed groups in a Covered Country, as defined by the Rule.
We were unable to fully identify countries of origin and/or smelters/refiners for calendar year 2018.

5 Per RMAP Conformant Smelters & Refiners List at: http://www.responsiblemineralsinitiative.org/conformant-smelter-refiner-lists/ on December 31, 2018.
The table below lists the facilities known to have processed metallic 3TG necessary to the production of AVX Products, based on CMRTs received by suppliers through December 31, 2018.
