Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(a) Not applicable.

(b) Effective June 30, 2006, Mr. Juan Alejandro (Alex) Muñoz resigned as principal operating officer and the Company’s Executive Vice President of Operations in order to pursue a calling to help the Catholic Church reach the Hispanic Community in the United States. Mr. Muñoz will continue to provide consulting services to the Company during the third quarter of 2006 and for an undetermined period of time thereafter.

Also effective June 30, 2006, Ms. Jeanne N. Batemen retired, resigning as Controller, Chief Accounting Officer and Assistant Secretary for the Company.
