ITEM 1.01.   ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On March 14, 2008, holders of 97.6% of the aggregate principal amount of our Non-Interest Bearing Senior Second Secured Notes Due 2008 (the “2008 Notes”) agreed with American Color Graphics, Inc. (“Graphics”) to, among other things, (a) extend the maturity date of the 2008 Notes from March 15, 2008, until the later of (i) June 15, 2008, and (ii) the date on which the interest payment currently due June 15, 2008, in respect of Graphics’ 10% Senior Second Secured Notes Due 2010 (the “2010 Notes”) becomes due and payable without default or penalty, and (b) provide for the cancellation of the 2008 Notes, without consideration, upon the consummation of a merger between ACG Holdings, Inc. and an unaffiliated third party. The maturity of the amended 2008 Notes can also be accelerated upon the occurrence of certain other events. See the Second Supplemental Indenture for the 2010 Notes and the 2008 Notes referred to below.
On March 14, 2008, holders of 90.0% of the aggregate principal amount of our 2010 Notes also agreed with Graphics to amend certain covenants in the Indenture for the 2010 Notes and the 2008 Notes to provide that the rights and remedies of the Trustee and the holders of the 2010 Notes in the Collateral (as defined in the Indenture therefor) shall be subordinate and subject to the rights and remedies of the holders of the 2008 Notes with respect to the Junior Liens (as defined in the Indenture therefor).
Copies of the Second Supplemental Indenture for the 2010 Notes and the 2008 Notes and the form of amended 2008 Note are set forth in Exhibits 10.40 and 10.41.
